Platform: TicTAP – Simply Connect, Vcards by TicTAP, TapInPack by TicTAP (collectively, the “Platform”)

These Terms and Conditions of Service (“Terms”) constitute a legally binding agreement between Bretenbits S.L. (“TicTAP,” “we,” “our,” or “us”) and you (“User,” “you,” or “your”) governing your access to and use of the Platform.

By accessing, browsing, or using the Platform, you expressly agree to comply with these Terms, including any future modifications. If you do not agree with these Terms in their entirety, you must immediately cease all use of the Platform.

1. Definitions

1.1 “Platform” refers to TicTAP – Simply Connect, Vcards by TicTAP, TapInPack, and all associated websites, applications, APIs, and digital services operated by Bretenbits S.L.

1.2 “Content” means any data, text, images, audio, video, files, or other material uploaded, stored, transmitted, or displayed through the Platform by Users.

1.3 “User” means any individual or legal entity accessing or using the Platform.

1.4 “Account” means the registration credentials provided by a User to access the Platform.

1.5 “Infrastructure Provider” means that TicTAP’s role is limited to providing the technical infrastructure, hosting, and software tools necessary for Users to create, manage, and share their own content and data.

2. Nature of the Service — Infrastructure Provider

2.1 TicTAP as Infrastructure Provider. TicTAP provides its services strictly as an infrastructure and technology platform. TicTAP does not create, generate, curate, edit, review, approve, verify, or endorse any Content or data uploaded, stored, or processed by Users through the Platform. TicTAP’s role is limited to providing the technical means (servers, databases, software tools, APIs, interfaces) that enable Users to manage their own information.

2.2 No Editorial Control. TicTAP exercises no editorial control over User-generated Content. TicTAP does not select, modify, organize, or take responsibility for the accuracy, completeness, legality, decency, or quality of any Content created or uploaded by Users.

2.3 Data Ownership and Control. All Content and data created, uploaded, stored, or transmitted through the Platform remain the exclusive property of the User who created or submitted them. TicTAP acquires no ownership rights in any User Content whatsoever. Users retain full intellectual property rights, including but not limited to copyright, trademark, and trade secret rights, in and to their Content.

2.4 No Data Processing on Behalf. Except for the strictly necessary technical processing required to operate the Platform (hosting, storage, transmission), TicTAP does not process User data in any capacity beyond what is necessary to provide the infrastructure service. TicTAP is not a data processor in the sense of making decisions about the purposes or means of processing User data.

3. User Responsibilities and Content

3.1 User-Generated Content. Users are solely responsible for all Content they upload, post, transmit, store, or share through the Platform. Users warrant that:

(a) They have the full right, authority, and legal capacity to submit such Content;

(b) The Content does not violate any applicable law, regulation, or third-party right;

(c) The Content does not infringe upon the intellectual property, privacy, publicity, or any other proprietary rights of any third party;

(d) The Content is truthful, accurate, and not misleading.

3.2 Prohibited Content. Users agree not to upload, post, transmit, store, or share any Content that:

(a) Is illegal, criminal, or encourages criminal conduct;

(b) Is defamatory, libelous, slanderous, or maliciously false;

(d) Incites violence, hatred, discrimination, or intolerance;

(e) Violates the privacy, publicity, or rights of others;

(f) Contains malware, viruses, or harmful code;

(g) Constitutes spam, phishing, or any form of fraudulent communication;

(h) Violates any applicable data protection, privacy, or confidentiality laws;

(i) Contains content that TicTAP, in its sole discretion, deems harmful, abusive, or objectionable.

3.3 Special Categories of Data and Vulnerable Populations. Users acknowledge and agree that TicTAP has no obligation and assumes no responsibility to monitor, filter, prevent, or take any action regarding the upload, storage, or processing of:

(a) Personal data of minors (individuals under 16 years of age, or such other age as specified by applicable law);

(b) Special category personal data as defined in Article 9 of the GDPR, including but not limited to data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic data, biometric data, health data, and data concerning a person’s sex life or sexual orientation;

(c) Sensitive personal data including financial information, identification documents, credentials, or any other data that could be used for identity theft or fraud.

Users are solely and exclusively responsible for ensuring that any data they upload, process, or transmit through the Platform complies with all applicable laws, including but not limited to the GDPR, the protection of minors, and all other data protection regulations. TicTAP shall not be held liable under any circumstances for the existence, collection, processing, transmission, or misuse of such data by Users, provided that TicTAP has not been expressly notified of the illegality of such data and has not acted with actual knowledge of its existence.

3.4 User Compliance. Users are responsible for ensuring that their use of the Platform and any data they submit complies with all applicable local, national, and international laws, including but not limited to data protection laws, consumer protection laws, and industry-specific regulations.

4. Platform Functionality and Limitations

4.1 “As Is” Provision. The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

4.2 No Guarantee of Availability. TicTAP endeavors to maintain the Platform available and operational but does not guarantee that the Platform will be free from interruptions, errors, downtime, or bugs. Service interruptions may occur due to maintenance, technical issues, force majeure, or third-party failures.

4.3 Technical Limitations. Users acknowledge that the Platform operates within the limitations of available technology and that TicTAP cannot guarantee perfect performance, security, or data integrity at all times.

4.4 Third-Party Services. The Platform may integrate with or link to third-party services, tools, or resources. TicTAP is not responsible for the content, privacy practices, or policies of any third-party services.

5. License Grant and Intellectual Property

5.1 User License. Users retain all ownership rights in their Content. By using the Platform, Users grant TicTAP a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, adapt, modify, and display such Content solely for the purpose of providing, operating, maintaining, and improving the Platform and its services. This license terminates upon User deletion of their Content or termination of these Terms.

5.2 TicTAP Intellectual Property. All trademarks, logos, service marks, software, designs, text, graphics, and other intellectual property owned by TicTAP remain the exclusive property of Bretenbits S.L. Users may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without TicTAP’s prior written consent.

5.3 User Content Removal. TicTAP reserves the right to remove, disable access to, or modify any Content that violates these Terms or that TicTAP believes in good faith may cause legal liability or harm to TicTAP, its users, or third parties.

6. Account Security

6.1 Account Registration. Users may be required to create an Account to access certain features of the Platform. Users are responsible for providing accurate, complete, and up-to-date information during registration.

6.2 Account Security. Users are solely responsible for maintaining the confidentiality of their Account credentials (username, password, API keys, etc.) and for all activities that occur under their Account. Users must immediately notify TicTAP of any unauthorized use of their Account or any security breach.

6.3 Termination of Account. TicTAP reserves the right to suspend or terminate any Account at any time, with or without cause, and with or without prior notice, if TicTAP believes that the User has violated these Terms or engaged in fraudulent, abusive, or harmful activities.

7. Limitation of Liability

7.1 Exclusion of Liability for User Content. TicTAP shall not be liable under any circumstances for:

(a) Any Content uploaded, stored, transmitted, or shared by Users through the Platform;

(b) The accuracy, completeness, legality, or quality of any User Content;

(d) Any unauthorized access to, use of, or alteration of User Content;

(e) Any claims, demands, or legal actions brought by third parties arising from User Content.

7.2 Exclusion of Liability for Data Processing. TicTAP shall not be liable for any processing of User data that occurs as a result of:

(a) The User’s own choices regarding what data to upload or process;

(b) The User’s own configuration of the Platform;

(d) Any legal actions, claims, or regulatory proceedings arising from the nature, content, or use of User data.

7.3 Maximum Liability. In no event shall TicTAP’s total aggregate liability under these Terms exceed the amount actually paid by the User for services in the preceding twelve (12) months, if any. In cases where no fees have been paid, TicTAP’s liability is limited to zero.

7.4 Indirect and Consequential Damages. In no event shall TicTAP be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, data, goodwill, business opportunities, or reputation, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if TicTAP has been advised of the possibility of such damages.

7.5 Force Majeure. TicTAP shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power outages, internet failures, or third-party service disruptions.

8. Indemnification

8.1 User Indemnification. Users agree to indemnify, defend, and hold harmless TicTAP, its affiliates, directors, officers, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or in connection with:

(a) User Content and any use thereof;

(b) User’s violation of these Terms;

(d) User’s misuse of the Platform;

(e) Any claims by third parties relating to User data, including but not limited to data protection claims, privacy claims, intellectual property claims, or personality rights claims.

9. Privacy and Data Protection

9.1 Privacy Policy. Use of the Platform is subject to TicTAP’s Privacy Policy, available at https://www.tictap.me/en/privacy-policy/. By using the Platform, Users agree to the practices described in the Privacy Policy.

9.2 Data Controller vs. Infrastructure Provider. Users acknowledge that TicTAP acts as the data controller solely for the personal data that Users directly provide to TicTAP through registration forms, contact forms, or other explicit data submission mechanisms on the TicTAP websites. TicTAP does not act as a data controller for User Content or data stored within the Platform, as such data is created, controlled, and owned by Users. Users are the sole data controllers for their own data.

9.3 User Data Protection Responsibilities. Users are solely responsible for:

(a) Obtaining all necessary consents from data subjects before uploading their personal data to the Platform;

(b) Ensuring compliance with data protection laws (including GDPR) regarding the data they upload;

(d) Managing data subject rights requests related to their data stored in the Platform.

9.4 Sub-processors. TicTAP may engage sub-processors (cloud hosting providers, infrastructure services, etc.) to operate the Platform. Such sub-processors are bound by contractual obligations to process data only as instructed by TicTAP and to maintain appropriate security measures. Users may request a list of sub-processors by contacting TicTAP at dpo@tictap.me.

10. Modifications to Terms

10.1 Right to Modify. TicTAP reserves the right to modify, amend, or update these Terms at any time, in its sole discretion. Changes will be effective upon being posted on the Platform.

10.2 Notification. Users will be notified of significant changes via email or through notifications on the Platform. It is recommended that Users review these Terms periodically.

10.3 Continued Use. Users’ continued use of the Platform after changes are posted constitutes their acceptance of the new terms. If Users do not agree to the modified Terms, they must cease all use of the Platform.

11. Termination

11.1 Termination by TicTAP. TicTAP may terminate or suspend access to the Platform, in whole or in part, at any time, with or without cause, and with or without prior notice.

11.2 Termination by User. Users may cease using the Platform at any time.

11.3 Effect of Termination. Upon termination, all User accounts and data may be deleted, without prejudice to the 5-year retention policy described in the Privacy Policy. TicTAP shall not be liable for any loss of User Content resulting from termination once such period has expired or where the User has requested its deletion.

11.4 Survival. The following provisions shall survive termination of these Terms: Sections 2 (Infrastructure Provider), 3 (User Responsibilities and Content), 5 (Intellectual Property), 7 (Limitation of Liability), 8 (Indemnification), and 9 (Privacy and Data Protection).

12. Governing Law and Jurisdiction

12.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.

12.2 Jurisdiction. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.

12.3 Mediation. Before resorting to court proceedings, parties shall attempt to resolve any disputes through mediation conducted in accordance with the Arbitration Rules of the Barcelona Chamber of Commerce.

13. General Provisions

13.1 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.2 Waiver. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or of any other term or condition.

13.3 Assignment. Users may not assign or transfer their rights or obligations under these Terms without TicTAP’s prior written consent. TicTAP may assign or transfer its rights or obligations without restriction.

13.4 Entire Agreement. These Terms constitute the entire agreement between the parties regarding the Platform and supersede all prior or contemporaneous agreements, understandings, and communications, whether oral or written.

14. Acknowledgment

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO COMPLY WITH THESE TERMS AND CONDITIONS IN THEIR ENTIRETY. YOU FURTHER ACKNOWLEDGE THAT TICTAP ACTS SOLELY AS AN INFRASTRUCTURE PROVIDER AND THAT YOU ARE SOLELY RESPONSIBLE FOR ALL CONTENT AND DATA UPLOADED, STORED, OR PROCESSED THROUGH THE PLATFORM.
